TERMS OF SALE
1. All bids are made and received under the following terms to which bidders
agree by making their bid at this sale.  These terms cannot be altered except by me (auctioneer
himself) and no employee of Anderson Auction & Realty (“Anderson”) has the authority to
modify these terms.  I (auctioneer) reserve the right to add to or modify these terms of sale
during the course of this auction.  All bidders and other persons attending this sale agree that
they have heard and received a copy of these terms of sale, have full knowledge thereof, and
agree to be bound by them.
2. NO WARRANTIES.  Bidders shall examine or inspect items prior to or
on the day of the auction.  ALL ITEMS ARE SOLD AS IS, WHERE IS AND WITH ALL
FAULTS.  NEITHER ANDERSON, HSBC BANK USA, NATIONAL ASSOCIATION
(“HSBC”), NOR GREAT LAKES MAKE ANY WARRANTY, EXPRESS OR IMPLIED, AS
TO THE NATURE, QUALITY, VALUE OR CONDITION OF ANY ASSET.  ANDERSON,
HSBC, AND GREAT LAKES EXPRESSLY DISCLAIM ANY WARRANTY OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.  Anderson will announce if any item carries a manufacturer’s warranty at the 2
time the item is offered for sale.  Assets are intended to be sold without software, if any is
applicable.  In the event that software is included in an asset sale, notwithstanding the
disclaimers set forth above, Anderson makes no representations or warranties regarding the
purchaser’s right to use such software, as to the performance of the software, its noninfringement or otherwise.  In such circumstances, Anderson recommends that purchaser contact
the software manufacturer directly to resolve any such issues.
3. CONDITION OF PARTS, TOOLING, OTHER INVENTORY AND
EQUIPMENT.  Neither Anderson nor HSBC are responsible for the correct description,
genuineness, authenticity, count of, or defect in any goods, and make no warranty or
representation in connection therewith.  No sale shall be set aside nor allowance made on
account of any incorrectness, error in cataloging, or any imperfection not noted.  NO
DEDUCTIONS WILL BE ALLOWED ON DAMAGED GOODS.  ALL GOODS ARE BEING
EXPOSED FOR PUBLIC EXHIBIT AND SOLD “AS IS, WHERE IS” AND WITHOUT
RECOURSE, GOODS ARE NOT WARRANTED AS MERCHANTABLE OR FIT FOR ANY
PARTICULAR PURPOSE, AND NO CLAIM MAY BE MADE BY PURCHASER
RELATING TO THE CONDITION OR USE OF GOODS PURCHASED, OR FOR
PROXIMATE OR CONSEQUENTIAL DAMAGES ARISING THEREFROM.  IN OTHER
WORDS, “NO BID CAN BE RETRACTED.”
4. PAYMENT.  The full amount of approved successful bids must be paid
not later than 5:00 p.m. on January 10, 2012 and in any event prior to removal of the purchased
goods from the premises.  Anderson accepts the following methods of payment:  Cash, VISA,
MasterCard, American Express, cashier’s check, and wire transfer made payable to 3
“Anderson Auction & Realty.”  Anderson also will accept a company check if it is accompanied
by a letter from the company’s bank guaranteeing payment in full, without condition and upon
demand.  All bids must be paid to representatives of Anderson at the premises unless otherwise
announced.  The full purchase price on all goods sold to the same buyer must be paid within the
time fixed and before the removal of any of the goods. If applicable, funds will be verified with
your bank prior to removal of any goods.
5. COMPLIANCE WITH TERMS OF SALE.  Goods not paid for and
removed within the time provided may be resold to the next highest bidder or at other public or
private sale without further notice, and any deficiency, together with all expenses and charges for
resale, including notice, and any deficiency, together with all expenses and charges of resale,
including reasonable attorney’s fees, will be charged to the defaulting purchaser.
6. REMOVAL.  Anderson will announce the removal, or “check-out,” period
on the day of the auction.  Removal is at the expense, risk, and liability of the purchaser. 
Anderson shall have no responsibility to disconnect utilities to the sold asset, including electric,
gas, waste and water lines. It is the purchaser’s sole responsibility to arrange and pay for the
removal and shipment of purchased items.  Also, it is the purchaser’s responsibility to provide,
and/or ensure their agent(s) performing removals on their behalf provide, upon demand, evidence
of the following insurance policies with reliable insurance companies, and in the following
amounts: $2,000,000 combined single limit, $1,000,000 property damage and $1,000,000
comprehensive general liability with contractual liability in the case of all riggers; and $500,000
cargo and $1,000,000 comprehensive general liability in the case of carriers; and such other
insurance as may be required by any governmental authority, including workers’ compensation 4
insurance.  Removal shall be conducted responsibly and with due care for the premises.  The
purchaser shall restore and repair all real and personal property that is altered or damaged as a
result of the removal of purchased items. If the purchaser does not remove an item within the
announced check-out period, Anderson and HSBC may, in their sole discretion, deem the item to
have been abandoned by the purchaser and the purchaser will have no further rights with respect
to the item.  Notwithstanding the foregoing, Anderson and HSBC reserve the right to charge the
purchaser for the costs of storage beyond the check-out period.
  It is the purchaser’s sole responsibility to meet all governmental safety and
environmental standards in removing, shipping and using purchased items.  Certain of the items
for sale may contain “hazardous substances,” as that term is defined under federal, state, or local
environmental laws and regulations.  Anderson has no duty to remove any hazardous substances
that are contained in or are a part of any item.  
7. INDEMNIFICATION.  Purchasers agree to defend, indemnify, and hold
Anderson, HSBC, and Great Lakes harmless from and against any claim, demand, cause of
action, liability or expense (including attorneys’ fees and costs) asserted against or incurred by
Anderson, HSBC, and Great Lakes in connection with the sale, removal, condition, shipment or
use of any purchased items, or failure of user to follow instructions, warnings, or
recommendations of the manufacturer, or to comply with federal, state, and local laws,
applicable to the goods, and for proximate or consequential damages, costs or legal expenses
arising as a result.
8. RISK TO PERSON AND PROPERTY.  Persons attending during the
auction, sale, or removal of goods assume all risks of damage or loss to person and property and 5
specifically release Anderson, HSBC, and Great Lakes from liability therefore.  Neither
Anderson, HSBC, nor Great Lakes shall be liable for any damages of any type or nature (whether
in contract, tort or otherwise) sustained or claimed by any bidder or any other person or entity in
connection with the auction.  Without limiting the foregoing, in no event shall Anderson’s
liability to any bidder for any act or omission occurring in connection with the auction exceed
the amount that such bidder has actually paid to Anderson as a deposit or as payment for a
purchased item.
  Bidders acknowledge that an auction site is a potentially dangerous place. 
Flammable, noxious, corrosive and pressurized substances may be present.  Heavy equipment
may be operated, and electrical circuits may be live.  Every person enters the auction site at his
or her own risk with notice of the condition of the premises and the activities that will be or have
been conducted on the premises.  Bidders shall so advise their agents and employees.  No person
shall have any claim against Anderson, HSBC, or Great Lakes or their respective agents or
employees for any injuries sustained or for damages to or loss of property that may occur at the
auction site.
9. ADDITIONS TO OR WITHDRAWAL FROM SALE.  Anderson and
HSBC reserve the right to withdraw from sale or bid any of the property listed or to sell at this

10. DISPUTE BETWEEN BIDDERS.  If any dispute arises between two or
more bidders, Anderson may decide the same or put the bid up for sale again and resell it to the
highest bidder.  Anderson’s decision shall be final.
11. RECORDS.  The records of this sale kept by Anderson will be taken as
final in the event of any dispute.
12. BINDING EFFECT OF BIDS.  No bid may be retracted.
13. RISK OF LOSS.  All purchases made at this sale are at the purchaser’s
risk as soon as they are struck off and payment made; Anderson, HSBC, and Great Lakes are not
responsible if all or part of such purchases are lost, stolen, damaged, or destroyed in any manner
whatsoever.
14. SALES TAX.  Please bring your resale tax ID number or New York State
Sales Tax will be added to your bill.  If any sales tax is due, it shall be paid by purchaser to
Anderson prior to the removal of the goods.

15. These Terms and Conditions, and all questions with respect to the interpretation of these Terms and Conditions, shall be governed by and construed in accordance
with the laws of the State of New York, without regard to conflict of laws provisions.  All bidders expressly consent to personal and exclusive jurisdiction and venue in the courts of the State of New York located in Oswego County.
